Itacio provides data verification, background screening, and related information services to businesses and organizations. Our Services include but are not limited to criminal background checks, employment verification, education verification, identity verification, and other screening services. The specific services available to you depend on your subscription plan and applicable laws.

3. Account Registration and Security

To access certain features of our Services, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Permitted Use

6. Fees and Payment

We reserve the right to modify our pricing with 30 days' notice. Failure to pay fees when due may result in suspension or termination of your account.

You acknowledge that data may be subject to delays and should verify critical information through independent sources.

You shall not disclose confidential information to any third party except as required by law or as necessary to fulfill the permissible purpose for which the information was obtained.

10. Indemnification

You agree to indemnify, defend, and hold harmless Itacio and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any rights of another party.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ITACIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO ITACIO IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will cease immediately. You may terminate your account at any time by contacting us. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Allegheny County, Pennsylvania, in accordance with the rules of the American Arbitration Association.
