These Terms and Conditions ("Terms") govern your access to and use of www.itacio.com and all related Itacio websites, platforms, and services (collectively, the "Site" and "Services"). By accessing or using the Site and Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Site or Services.

1. Acceptance of Terms
By accessing the Site or using the Services, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are accessing the Site or Services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Use License and Restrictions

2.1 Limited License
Itacio grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site and Services solely for lawful purposes and in accordance with these Terms. This license does not include the right to:

• Reproduce, distribute, or transmit any content without written permission;

• Modify, adapt, translate, or create derivative works based on the Site or Services;

• Reverse engineer, decompile, or disassemble any software or technology;

• Remove, obscure, or alter any proprietary notices or labels;

• Use the Site or Services for commercial purposes without authorization;

• Access the Site or Services through automated means (bots, scrapers, etc.) without permission;

• Interfere with or disrupt the integrity or performance of the Site or Services.
   

2.2 Prohibited Conduct
You agree not to:

• Violate any applicable laws, regulations, or third-party rights;

• Engage in harassment, abuse, or threatening behavior toward other users or Itacio personnel;

• Transmit viruses, malware, or any code of destructive nature;

• Attempt to gain unauthorized access to the Site, Services, or related systems;

• Collect or track personal information about others without consent;

• Impersonate any person or entity or misrepresent your affiliation;

• Post or transmit obscene, defamatory, or unlawful content;

• Engage in any form of fraud, phishing, or deceptive practices;

• Circumvent security measures or access restrictions.
   

3. Intellectual Property Rights

3.1 Itacio Ownership
The Site, Services, and all content, materials, software, text, graphics, images, logos, and designs (collectively, "Content") are owned by or licensed to Itacio and are protected by copyright, trademark, and other intellectual property laws. All rights are reserved.

3.2 Your Submissions
Any content, feedback, suggestions, or information you submit to Itacio ("User Submissions") becomes the property of Itacio. You grant Itacio a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and distribute User Submissions for any purpose without compensation or attribution to you.

3.3 Trademarks
Itacio, the Itacio logo, and other Itacio trademarks are the exclusive property of Itacio, LLC. You may not use these trademarks without prior written consent from Itacio.
4. Service Availability and Modifications

4.1 "As-Is" Basis
The Site and Services are provided on an "as-is" and "as-available" basis. Itacio does not warrant that the Site or Services will be uninterrupted, error-free, or free from viruses or harmful components.

4.2 Modifications
Itacio reserves the right to modify, suspend, or discontinue the Site or Services (or any portion thereof) at any time, with or without notice. Itacio is not liable for any modification, suspension, or discontinuation of the Site or Services.

4.3 Maintenance and Downtime
Itacio may perform scheduled or emergency maintenance that temporarily interrupts access to the Site or Services. We will use reasonable efforts to provide advance notice of scheduled maintenance.

5. User Accounts and Security

5.1 Account Registration
If you create an account to access the Services, you agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and password.

5.2 Account Responsibility
You are solely responsible for all activity that occurs under your account. You agree to notify Itacio immediately of any unauthorized access or use of your account. Itacio is not liable for unauthorized access resulting from your failure to protect your credentials.

5.3 Account Termination
Itacio may terminate or suspend your account at any time, for any reason, without notice or liability, including for violations of these Terms or applicable law.

6. Limitation of Liability

6.1 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ITACIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ITACIO DOES NOT WARRANT THAT THE SITE OR SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

6.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ITACIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ITACIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6.3 Cap on Liability
ITACIO'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE AND SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO ITACIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS LESS. THIS CAP APPLIES TO ALL CLAIMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

6.4 Essential Terms
You acknowledge that these liability limitations are essential terms of these Terms and that Itacio would not provide the Site or Services without these limitations.

7. Indemnification
You agree to indemnify, defend, and hold harmless Itacio and its officers, directors, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Site or Services;

• Your violation of these Terms or applicable law;

• Your violation of any third-party rights;

• User Submissions you provide to Itacio;

• Your account and the activity under your account.
   

8. Third-Party Links and Content

8.1 External Links
The Site may contain links to third-party websites and services. Itacio does not endorse, control, or assume responsibility for third-party content, products, or services. Your use of third-party sites is governed by their terms and privacy policies, not these Terms.

8.2 Third-Party Content
The Site may include content from third parties. Itacio does not warrant the accuracy, completeness, or legality of third-party content and is not responsible for any harm resulting from your use of third-party content.

9. Data and Privacy

9.1 Privacy Policy
Your use of the Site and Services is also governed by Itacio's Privacy Policy, which is incorporated by reference into these Terms. Please review the Privacy Policy to understand our data practices.

9.2 Client Data
For clients using Itacio's consulting or software services, any client data provided to Itacio is subject to the applicable service agreement and Privacy Policy. Clients retain ownership of their data and are responsible for ensuring they have legal authority to provide such data to Itacio.

10. Compliance with Law
You agree to comply with all applicable federal, state, local, and international laws, regulations, and ordinances in your use of the Site and Services. You are solely responsible for ensuring your use is lawful in your jurisdiction.

11. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Pennsylvania for resolution of any disputes.

12. Dispute Resolution

12.1 Informal Resolution
Before initiating legal proceedings, you agree to attempt to resolve any dispute informally by contacting Itacio at legal@itacio.com with a detailed description of the dispute.

12.2 Arbitration
If informal resolution fails, you and Itacio agree to resolve any dispute through binding arbitration administered by JAMS under its Comprehensive Arbitration and Mediation Services Rules. Arbitration shall be conducted in Pennsylvania. Each party shall bear its own costs, and arbitration fees shall be split equally unless the arbitrator determines otherwise.

12.3 Class Action Waiver
You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, collective action, or representative action. You waive the right to participate in class actions against Itacio.

13. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed. The remaining provisions shall remain in full force and effect.

14. Entire Agreement
These Terms, together with the Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Itacio regarding the Site and Services and supersede all prior and contemporaneous agreements, understandings, and communications, whether written or oral.

15. Amendments
Itacio may amend these Terms at any time by posting the revised Terms on the Site and updating the "Last Updated" date. Your continued use of the Site or Services following the posting of amended Terms constitutes your acceptance of the amendments. If you do not agree to the amended Terms, you must discontinue your use of the Site and Services.

16. Waiver
The failure of Itacio to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Itacio.
